You retain all ownership rights to the data and content you upload to our Services ("Your Data"). By uploading Your Data, you grant IndexMemory a limited, non-exclusive license to process, store, and analyze Your Data solely for the purpose of providing the Services to you.
7.2 Data Processing
We process Your Data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect Your Data against unauthorized access, loss, or destruction.
8. Payment Terms
Pricing for our Services is determined on a custom basis following a consultation. All fees are quoted in the currency agreed upon during the engagement process. Payment terms, including billing frequency and accepted payment methods, will be specified in your individual service agreement. Late payments may be subject to interest charges at the maximum rate permitted by applicable law.
9. Service Level and Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We shall not be liable for any temporary unavailability due to maintenance, updates, or circumstances beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by applicable law, IndexMemory and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the total amount paid by you to IndexMemory during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless IndexMemory and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may terminate or suspend your access to the Services at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease. We will provide you with a reasonable period to export Your Data before it is permanently deleted from our systems.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IndexMemory is incorporated, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where appropriate, by sending you an email notification. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect.
